General Conditions of Sale

These General Conditions of Sale (“GCS”) govern all subscription purchases and commercial transactions on the Mindstk platform operated by MINDSTK LLC, 1704 Llano St, Santa Fe, New Mexico 87505, USA (“Mindstk”). These GCS complement our Terms of Use and apply to all paying customers.
1. Subscription Plans
Mindstk offers subscription plans (free tier and paid plans) as described at mindstk.io/pricing. Each plan includes a defined monthly quota of standard API requests and AI API requests. Quotas reset on the first day of each billing cycle.
The features, quotas, and pricing of each plan are subject to change. Existing subscribers will be notified of changes at least 30 days in advance. Free tier users may be modified with shorter notice.
2. Pricing & Taxes
All prices are listed in US Dollars (USD) and are exclusive of applicable taxes. You are responsible for any taxes (including sales tax, VAT, or GST) applicable in your jurisdiction. Mindstk may collect applicable taxes where required by law.
The price displayed at checkout is the price you will be charged for the current billing period. Prices include all platform features listed for the selected plan.
3. Payment Processing
All payments are processed by Stripe, Inc., a third-party payment processor. By subscribing, you agree to Stripe's Terms of Service and authorize Mindstk to instruct Stripe to charge your payment method.
Accepted payment methods include major credit and debit cards (Visa, Mastercard, American Express). Payment methods may vary by region.
Your payment information is stored and managed by Stripe. Mindstk does not store full card details.
4. Billing Cycles & Auto-Renewal
Subscriptions are billed on a recurring basis — monthly or annually, depending on the plan you selected at checkout. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.
For annual plans, you will be charged the full annual amount at the start of each yearly period. For monthly plans, you will be charged monthly.
You can view your next billing date and manage your subscription in your billing dashboard at any time.
5. Free Trial
Where a free trial is offered, it will be clearly indicated at signup. No payment is required during the free trial period. At the end of the trial, your subscription automatically converts to the selected paid plan unless you cancel before the trial ends.
Mindstk reserves the right to limit free trials to one per person or organization and to discontinue trial offers at any time.
6. Cancellation
You may cancel your subscription at any time from your billing dashboard or by contacting support@mindstk.io. Cancellation takes effect at the end of your current billing period. You retain full access to paid features until that date.
Cancellation does not delete your account. Your data and API keys remain accessible on the free tier after cancellation. To permanently delete your account, contact support@mindstk.io.
7. Refunds
All sales are final. We do not offer refunds for partial subscription periods, unused API quota, or accidental renewals, except as required by applicable consumer protection laws.
If you believe you were incorrectly charged, contact us at billing@mindstk.io within 14 days of the charge. We will investigate and issue a refund if the charge was made in error.
If you are located in the European Union, you may have a statutory right of withdrawal within 14 days of your initial purchase, provided you have not used the service during that period.
8. Quota Usage & Overages
Each plan includes a monthly quota of standard and AI API requests. If you reach your quota, API calls will return a rate-limit error (HTTP 429) until the next billing cycle. There are no automatic overage charges — quota is hard-capped.
To avoid interruption, you may upgrade your plan at any time. Upgrades take effect immediately; you will be charged a prorated amount for the remainder of the current billing period.
9. Plan Upgrades & Downgrades
Upgrades: Take effect immediately. You will be charged a prorated amount based on the remaining days in your current billing period.
Downgrades: Take effect at the start of the next billing cycle. Your current plan remains active until then.
10. Service Availability
Mindstk targets 99.5% monthly uptime for the platform. Scheduled maintenance will be announced in advance where possible. Unplanned downtime does not entitle you to a refund unless it exceeds 24 cumulative hours in a billing month, in which case you may request a prorated credit.
11. Account Suspension for Non-Payment
If a payment fails (e.g., expired card, insufficient funds), we will notify you by email. You have 7 days to update your payment method. If payment is not received within that period, your account may be downgraded to the free tier and your API keys suspended until payment is resolved.
12. Governing Law
These GCS are governed by the laws of the State of New Mexico, USA. Disputes are subject to the dispute resolution provisions in our Terms of Use.
